II. KEY RESPONSIBILITIES (Up to 5)

Managing proxy statement timeline and coordinating the drafting, printing, mailing and filing of the proxy statement (including maintaining relationships with outside vendors - printer, proxy solicitor, transfer agent, voting tabulator)
Managing all aspects of the company's Insider Trading Policy - including trading clearances and maintaining updated records of insiders
Managing a complex director compensation program which includes cash and equity
Managing activities of, and database relating to, domestic and international subsidiaries (we have 100+)
Responsible for all Section 16 filings for directors and executive officers
NYSE compliance, including annual and interim affirmation filings and conducting online Board and committee assessments
Managing annual Director & Officer questionnaire process, including calculation of director and officer beneficial equity ownership and conducting director independence analyses
Drafting Board/committee resolutions and maintaining corporate record books for the Company and all domestic and foreign subsidiaries

III. KEY REQUIREMENTS

Minimum of seven years experience as a corporate secretary paralegal for a NYSE publicly traded company; Experience with all of the above responsibility areas
Able to manage multiple tasks with minimal oversight and comfort level with interactions with Board of Directors
Experience with managing domestic and foreign subsidiary activities, corporate governance items and corporate records
Proficiency in Section 16 rules and filing requirements
Proficiency in the following online applications: (i) GEMS Subsidiary Management System, (ii) RRD's Netfiler, (iii) NYSE electronic filing system (egovdirect), (iv) Diligent BoardBooks, (vi) Section 16.net, (vii) Charles Schwab equity/ compensation and (viii) Fidelity's equity/compensation.
Estimated Salary: $20 to $28 per hour based on qualifications.

The fraudster will send a check to the victim who has accepted a job. The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
